Terms and Conditions

Language Products and services, buying from www.cognitivus.fi (website)

The terms and conditions set out below are the basis of the contract between the Customer and Cognitivus. On purchasing a course with us, you are deemed to have accepted these terms and conditions. This is a legally binding agreement, so please read through it, carefully.

1 Definitions

The 'products' / services are as available on www.cognitivus.fi
"User" refers to both organisations and persons who purchase or have purchased products from Cognitivus and / or the website: www.cognitivus.fi (“Us” or “We”), and anyone else who uses these services.

2 Scope of application

These terms and conditions apply to all contracts for services and products on www.cognitivus.fi unless otherwise agreed in writing.

3 Conclusion of the Contract

www.cognitivus.fi is a legally binding tool for sales.
If the User purchases a product / service from Us, the user must submit a purchase order and make payment.
The agreement will come into force only when We have accepted the offer and sent confirmation. In the case of private instruction, We will contact the User by phone or email in order to agree the product / service to be delivered.

4 Termination of the Agreement

Users may cancel the contract up to 14 days prior to the date from which the User received the confirmation of a contract.
If the service has already been started before the expiration of the notice period, by accepting these terms the User also agrees that the 14-day right of cancellation does not apply.

5 Products

• Language Training (private, group, intensive and online training).
Individual Training sessions are sessions between a single User and a Cognitivus employee. Group Training sessions occur in a group environment, with each User, at a similar language skill level, focused on the same topic, as education is provided to the entire group on the agreed subject. Seminars and Intensive courses also occur in a group environment, with a trainer available to provide assistance and answer questions as each member works on an individual project. Training Session schedules and topics are determined by the User and Us and are subject to change at Our reasonable discretion.
The goals and schedules are agreed between the User and Us.
Each lesson is 40 minutes long, followed by a 5 minute break.
The User has the right to postpone or cancel a scheduled training session allowing up to a 48-hour notice period of the lesson. If the User cancels less than the allotted 48-hours or is unable to attend at the arranged time, then the User will be charged for that training session.
• Customised Training
The User and Cognitivus agree on subject matter and Language skill level. The User is able to provide specific terminology and relevant information, where necessary.
Each lesson is 40 minutes long, followed by a 5 minute break.
Cognitivus reserves the right to transfer the User to another group or to change the course content on professional orientation.

6 Products / Services on www.cognitivus.fi

We reserve the right to make changes to products / services and remove products / services from Our site without prior notice. The User agrees not to submit claims for these changes.

7 Subject to change

All language training products / services depend on the availability of teachers. We will confirm the contract after confirmation. In addition, the course plan is subject to adjustment to reflect changes, new developments or unforeseen circumstances, which are beyond Our control.
The user does not have the right to choose the teacher for the duration of the course.
We will always endeavour to find another instructor, if desired instructor is not available. However, this may not always be possible.
We will re-schedule any lessons, classes or courses that are cancelled by Us.
The User is not entitled to replacement lessons or other forms of compensation except those detailed in Section 7.

8 Liability

We do not guarantee nor are responsible for the success, following the conclusion of the language courses. These are determined by student's motivation and input. Based on research and experience, We are able to provide all the necessary groundwork, tuition and training to complete the User’s goals / increase language skill level. Our entire liability, in this case, is not greater than the fees paid, for the course.

9 Cancellation Policy

All cancellation and transfer requests must be made in writing to Us. Cancellation by telephone will not be accepted.
Mid-course transfers cannot be made from one delegate to another nor from one course to another. A cancellation of a course / delegate, which has already been transferred, will not be refunded.
The User is entitled to a refund within 6 months of the contract, if the User is unable to continue. We will refund the unused portion of fees minus administration charges. A viable reason must be submitted in writing.
We cannot offer refunds to delegates who fail to attend sessions. The Language course is valid for 12 months from Agreement. Unused hours cannot be maintained after the deadline. We may, in exceptional circumstances, extend the unused portion of the course.

10 Pricing and Payment Terms

All prices quoted by Us are exclusive of VAT. Payments are due in accordance with standard invoice terms unless otherwise agreed.
Payments are due within14 days of the Invoice date. The User will be asked to provide a purchase order number and accounts payable contact details.
We reserve the right to change prices at any time without notice, but any such changes will not apply to contracts already agreed.

11 Credit Card payments

We use an external payment provider, Klarna, an application platform for third parties to process payments. We do not store your credit card or banking information. The service provider stores your credit card and bank information in an encrypted format. Payment is made by credit card or direct debit to the Klarna system.

12 Breach of contract

If either party does not fulfil their contractual obligations, the other party shall have the right to terminate the contract within 14 days after the agreement. Termination is to be made in writing detailing the forms of the contractual breach.

13 Governing Law and Jurisdiction

These Terms shall be governed by Finnish law. Both parties agree that the courts of Finland will have a final and irrevocable say in settling any dispute, which may arise in connection with these Terms and Conditions.
